Prime rest Partner Store Agreement

Article 1 (Purpose)
This Agreement sets forth the rights, obligations, and roles between Prime rest (hereinafter referred to as the “Company”) and the partner store (hereinafter referred to as the “Store”) regarding the luggage temporary storage service (hereinafter referred to as the “Service”) provided by the Company.

Article 2 (Overview of the Service)
The Service allows the Company to accept reservations and payments from users, and designated Stores to receive, store, and return users’ luggage.

The Company handles reservation management, payment processing, and primary user communication.

The Store performs the physical receipt, storage, and return of luggage in accordance with this Agreement and the Company’s operational guidelines.

Article 3 (Luggage Receipt and Return Operations)
Confirmation: The Store shall receive luggage after confirming the reservation/payment completion screen presented by the user.

Safety Check: The Store shall visually check for prohibited items and may refuse storage if an item is deemed unsafe.

Photo Record: Upon receipt, the Store shall take a photo of the luggage to record its external condition. This photo serves as evidence of the condition at the time of check-in.

Verification: When returning luggage, the Store shall verify the user's identity via the payment completion screen or other verification methods provided by the Company.

Article 4 (Storage Conditions)
The Store shall store luggage under the following conditions:

Indoors and protected from rain and weather.

Under staff supervision or in a secure, designated area.

In a location not easily accessible to unauthorized third parties.

Article 5 (Compensation and Liability)
Company’s Compensation: In the event of loss or damage to the stored luggage, the Company shall provide compensation to the user up to a maximum of 50,000 JPY per incident.

Store’s Liability: If the Store has exercised reasonable care and followed the operational guidelines (including taking the required photo at receipt), the Store shall not be held liable for damages exceeding the Company’s compensation or for incidents beyond its reasonable control.

Exclusions: Neither the Company nor the Store shall be liable for damages to prohibited items (valuables, fragile items, etc.) as defined in Article 6.

Article 6 (Prohibited Items)
The Store shall not accept:

Cash, securities, jewelry, or high-value electronics.

Hazardous, flammable, or illegal items.

Living creatures, perishable goods, or items with strong odors.

Article 7 (Revenue Sharing)
Split: Total revenue from storage fees shall be split 50% to the Company and 50% to the Store, unless otherwise agreed in writing.

Payment: The Company shall remit the Store’s share on a monthly basis (closing at month-end, paid by the end of the following month). Bank transfer fees for this remittance shall be borne by the Company.

Article 8 (Promotion and Coupons)
Store Benefits: The Store is encouraged to provide coupons (e.g., drink discounts) to users to drive secondary sales.

Autonomy: The terms of such promotions are at the Store’s sole discretion.

Article 9 (Term and Termination)
Term: This Agreement is valid for one (1) year and shall automatically renew for successive one-year terms.

Termination: Either party may terminate this Agreement with thirty (30) days’ prior written notice.

Article 10 (Governing Law and Jurisdiction)
This Agreement shall be governed by the laws of Japan. Any disputes shall be subject to the exclusive jurisdiction of the Osaka District Court.
